1. STRUCTURE OF CONTEST The Nutella® Fancakes Contest (the “Contest”) is divided into two parts, a skill-based video contest (the “Contest”) and a random-draw sweepstakes (the “Sweepstakes”).
2. HOW TO ENTER: To enter the Contest, an eligible entrant (each an “Entrant”) may visit nutellafancakes.com (the “Website”) beginning at 12:00:00 AM ET on February 15, 2021 and ending at 11:59:59 PM (ET) on April 14, 2021 (the “Entry Period”) and follow the on-screen instructions. Entrant will be asked to enter Entrant’s date of birth to get started. Entrant will then be asked to enter into one of two categories (Professional or Non-Professional, as those terms are defined below). Entrant will then be required to provide the Entrant’s complete name, street address, city, state, zip code, phone, and email address (the “Entrant Information”). Each Entrant will then be prompted to provide a short video of 120 seconds or less showing and/or explaining how they create and then show their “Fancake” – their personal take on a pancake with Nutella® hazelnut spread (the “Video”). To be eligible for the Contest, the “Fancake” must be edible in its entirety and can be made only with ingredients that are readily available in one’s kitchen or may be purchased at a local grocery store. Ingredients CANNOT include anything that is a drug (whether over-the-counter, available by prescription or illegal), CBD, alcohol (or alcohol-infused ingredients), or any illegal product. Video must be submitted at the same time as completed entry form. All valid Contest entries (Professional and Non-Professional) will automatically be entered into the Sweepstakes, which is described in more detail in Section 6 below.
Once a Video has been entered in the Contest, it cannot be modified, amended or edited by Entrant. By entering the Contest, Entrant agrees to these Official Rules and the decisions of the Ferrero U.S.A., Inc. (“Sponsor”) and Judges (as defined below), which are final and binding in all matters. Proof of submission of an entry will not be deemed to be proof of receipt by Sponsor or proof of entry. Receipt of entry may be acknowledged by Sponsor, but any such acknowledgment is not otherwise binding upon Sponsor. If entering using a mobile device, entry may require data usage and incur data usage charges. Such charges may apply regardless of whether you are successful in completing and submitting your entry. Check your mobile plan for rates/details. Wireless access may not be available in all areas. Limit one (1) entry per person and per email address. An Entrant may enter in only one category (i.e. Professional or Non-Professional). Entering into both categories can result in disqualification of both entries in the Contest. Creating a Video and submitting an online entry form as described above is the only means of entering the Contest. If you are a Professional Entrant, be sure to obtain any necessary approvals from supervisory personnel prior to entering the Contest. Entry becomes property of Sponsor.
3. ELIGIBILITY: The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia, who are eighteen (18) years of age or older at the time of entry and who have a valid email address at the time of entry. Employees, agents, directors and officers of Sponsor, Berlin Productions, Inc. (“Administrator”), prize suppliers, and any of their respective parents, affiliates, subsidiaries, representatives and fulfillment, advertising, marketing and promotion agencies (collectively, the “Released Parties”) and each such employee/agent/director/officer’s immediate family members (spouse, parent, child, sibling and their respective spouses), regardless of where they reside, and/or those living in the same household of each such employee/agent/director/officer are not eligible to enter or win. Void in Puerto Rico and where prohibited by law. Administrator’s server will be the official timekeeper for the Contest.
4. GUIDELINES FOR DETERMINING PROFESSIONAL AND NON-PROFESSIONAL ENTRY STATUS:
You shall be deemed part of the “Non-Professional” category of Entrants if any of the following Non-Professional criteria apply to you and if none of the Professional criteria apply to you:

A given Entrant’s identification as a Professional or Non-Professional in his/her entry is subject to review and confirmation by Sponsor and Administrator. ANY FALSE STATEMENT OR MISREPRESENTATION OR OTHER ATTEMPT TO DEFRAUD SPONSOR/ADMINISTRATOR AS TO ONE’S STATUS AS A NON-PROFESSIONAL WILL RESULT IN AUTOMATIC DISQUALIFICATION FROM THE CONTEST IF DISCOVERED BY SPONSOR OR ADMINISTRATOR. THE PRECEDING INCLUDES BUT IS NOT LIMITED TO A PROFESSIONAL SEEKING TO ENTER THE CONTEST IN THE NON-PROFESSIONAL CATEGORY.
5. VIDEO SUBMISSION REQUIREMENTS: The following Video submission requirements apply:

Entrant is not required to include Nutella products or packaging in the Video, however, if Nutella products are used, Entrant must use them in a respectful and non-indulgent manner and otherwise use it in a way that complies with all of the Video Submission Requirements set forth herein.
Sponsor/Judges reserve the right in their sole discretion to disqualify any entry that, in their sole opinion, refers, depicts, or in any way reflects negatively upon the Sponsor, Sponsor’s products (including Nutella ® hazelnut spread), the Contest, or any other person or entity, or does not comply with these Video Submission Requirements or these Official Rules.
Videos must be suitable for presentation in a public forum, as determined in the sole discretion of Judges and/or Sponsor.
6. SELECTION OF CONTEST WINNERS: All Videos from eligible entries will be judged by a Sponsor-selected panel of experts (the “Judges”) to determine potential winning entries in the Contest. Entries by Professional Entrants will be judged against entries by other Professional Entrants; entries by Non-Professional Entrants will be judged against entries by other Non-Professional Entrants. There are 100 total points available in each category, and judging will be based on the following criteria (“Judging Criteria”):
A. Passion: Show us your enthusiasm and the joyful spirit you have for Nutella ® hazelnut spread (25%; maximum score of 25 points)
B. Originality: Show the process of making your Fancake and how your creation is unique. (50%; maximum score of 50 points)
C. Creative use of Nutella® hazelnut spread: Show how creative you can be with Nutella® hazelnut spread . (25%; maximum score of 25 points)
For both the Professional and Non-Professional entry categories, the Video with the highest total Judging Criteria score will be the potential winning entry for the applicable category, subject to verification. If there is a tie for first in a category, such tied entries will be broken in favor of the highest score for Judging Criterion “B” (i.e., originality), and, if necessary, then in favor of the highest score for Judging Criterion “A” (i.e., Entrant’s passion for Nutella® hazelnut spread), and, if necessary, then in favor of the highest score for Judging Criterion “C” (i.e., Creative use of Nutella® hazelnut spread).
7. SELECTION OF SWEEPSTAKES WINNERS: On or about April 19, 2021, Administrator will select Sweepstakes winners by random drawing from among all eligible entries. For clarity: (a) the random drawing will include eligible Entries submitted by both Professional Entrants and Non-Professional Entrants; (b) Contest winners will also be entered and eligible to win in the Sweepstakes; and (c) provided that the Video is compliance with these Official Rules, including the Video Submission Guidelines set forth above, the Video will NOT be taken into consideration for purposes of selecting potential Sweepstakes winners.. Odds of winning a prize in the Sweepstakes depends upon the total number of eligible entries received.
8. WINNER NOTIFICATION AND VERIFICATION: Sponsor will attempt to notify potential Contest and Sweepstakes winners via mail, email or telephone, in Sponsor’s sole discretion, on or about April 23, 2021. Potential Contest winners will (and potential Sweepstakes winners may) be required to complete, sign, and return an Affidavit of Eligibility, Liability Release and, where legally permissible, a Publicity Release. In addition, Potential Contest winners will be required to certify, among other things, that the Video is his/her own original work, he/she holds all rights to the Video and all elements therein including music, and he/she has fully complied with the Official Rules of the Contest and meets the requirements set forth in these Official Rules and indemnifying the Released Parties for any claims to the contrary. Potential Winners may also be required to provide proof of identification. All documents issued to Potential Winners (to the extent applicable) must be completed, signed, and returned within seven (7) calendar days of the date they are sent to Potential Winner. Potential Contest prize winner also may be subject to background checks or provision of employment-related information.
Sponsor reserves the right, in its sole discretion, to disqualify a Potential Winner for any of the following reasons: (a) non-compliance with these Official Rules (including Video Submission Requirements and eligibility requirements); (b) if the winner notification is returned as undeliverable; (c) information indicating a history, characteristic or quality considered by Sponsor to be unacceptable in a winner in this Contest; (d) information showing that the entry was defective or failed to comply with these Official Rules; (e) failure to sign and return required documents or provide required identification by the deadline set by Sponsor; (f) in the case of a potential Contest winner, failure to agree to or to fully cooperate with the conduct of a background check (providing any necessary consents and/or materials) or any request for employment-related information; or (g) in the case of a potential Contest winner, Sponsor’s conclusion, based on its review of the background check or forwarded employment-related information, that the potential Contest winner is not eligible for the Contest. If potential Contest winner is disqualified, the alternate winner will be the entry with the next highest score by the Judges in the applicable category (Professional or Non-Professional), per the Judging Criteria. If a potential Sweepstakes winner is disqualified, Sponsor will select an alternate potential winner via random drawing from among all remaining eligible non-winning Sweepstakes entries, time permitting. Sponsor will conduct up to one alternate drawing for each Sweepstakes prize. In no event will more than the stated number of prizes be awarded. Any unawarded, unclaimed, voided or forfeited Prizes will not be awarded.
9. CONTEST PRIZES: Two (2) Contest prizes will be awarded: one $10,000 prize for the Professional winner and one $10,000 prize for the Non-Professional winner. Contest prizes will be awarded in the form of a check. Award of Contest prize to Professional winner is subject to the written company policies of Professional winner’s employer, to the extent applicable. Each Contest winner (Professional and Non-Professional) may also have their recipes featured in Nutella® marketing material (TBD). There is no value to being featured in marketing material, and, if that portion of the prize is not awarded for any reason, no alternate prize will be awarded.
10. SWEEPSTAKES PRIZES:
Five (5) First Prizes: A 65” wide screen smart TV. The approximate retail value (“ARV”) of each first prize is $2,000.
Fifty (50) Second Prizes: A Nutella® Fancakes Creation Kit, that consists of the following: Nutella® hazelnut spread (26.5 oz jar), one 17.5 oz box of pancake mix, 20” electric griddle, large spatula, dual tip pancake pen, spoonula (spoon), three measuring cups in various sizes, three mixing bowls in various sizes, a set of three dinosaur pancake molds, and a set of three fairy tale pancake molds. ARV of each second prize is $211.00.
Seventy Five (75) Third Prizes: $100 branded technology gift card. ARV of each third prize is $100.
Total ARV of all prizes: $48,050.
Limit one Sweepstakes prize per person/family/address/household, although an Entrant may win a Sweepstakes prize and a Contest prize.
PRIZE RESTRICTIONS: Where not specified herein, Sponsor will determine the manufacturer and model number of prize in its sole discretion. No prize transfer or cash redemption. No prize substitution, in whole or in part, except by Sponsor, which reserves the right to substitute the prize (or portion thereof) of comparable or greater value, at its sole discretion. Any stated difference between the approximate retail value and actual value of prize or any substituted prize will not be awarded. All federal, state, and local taxes on prizes are the sole responsibility of winner. All costs and expenses not specified herein as being awarded are the sole responsibility of winner. All properly claimed prizes will be awarded, but in no event will more than the stated number of prizes be awarded. Prizes consist of only the items specifically listed as part of the prize. Each of the winners of Contest prizes and Sweepstakes First Prizes will be required to provide Sponsor with a valid social security number or tax identification number for tax reporting purposes before the corresponding Prize will be awarded. Each of the Contest winners and Sweepstakes First Prize winners will be sent an IRS form 1099 for the value of the prize won. Sponsor shall not be responsible for loss, delay, or damage in delivery of prizes. Any issue with the delivery of the prize, or defect of prize itself, will be handled by the delivery provider, manufacturer, or supplier directly not by Sponsor or Administrator, unless portion of prize is Sponsor’s products. Any unawarded, unclaimed, voided or forfeited Prizes will not be awarded. Sponsor and Administrator are not responsible for any change of email address and/or mailing address of Entrants.
11. SPECIFIC SWEEPSTAKES PRIZE RESTRICTIONS:
Sweepstakes First Prizes: Any costs or expenses associated with the installation, network connection, WiFi or other costs associated with the operation of the TV are not included with the prize.
Sweepstakes Second Prizes: If winner of second prize declines any element of Fancakes Creation Kit, it will be forfeited and no alternate prize or compensation will be awarded. Specific elements of Fancakes Creation Kit may be shipped separately to winner.
Sweepstakes Third Prizes: Gift cards shall be subject to the terms and conditions of use of issuer, as indicated thereon/provided therewith.
Sweepstakes Prizes will be delivered only to an address in the 50 United States or Washington, DC.
12. GRANT OF RIGHTS: By submitting an entry, Entrant grants to Sponsor and its authorized agents a royalty-free, sub-licensable, transferable right to exploit the Video in any medium throughout the world in perpetuity for editorial, educational, promotional, publicity, advertising or any other purpose on behalf of Sponsor, its parent or its affiliates, without compensation unless specifically prohibited by law and Entrant explicitly acknowledges and agrees that Sponsor reserves the right to publish any or all of the content of Video, including without limitation, the recipe made therein, with or without first and last name credit to the Entrant; and entries that attempt to restrict this right will not be considered. The Contest Potential Winners hereby waive in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that he or she may now or later have to their Video. The Contest Potential Winners shall execute at Sponsor’s request and without compensation such assignments and other documents as may be necessary to confirm or enact this assignment or any grant of rights set forth herein. Should Sponsor fail to request the said assignment as stated, that will not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment. The videographer (or his/her parent/legal guardian if deemed a minor in the jurisdiction of his/her residence), if not the Entrant, may be required to waive in favor of Sponsor all copyrights and rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that the videographer or Entrant may now or later have in the Video. By submitting a Video and entry, Entrant explicitly acknowledges that his/her image, Video, first name, last initial, city, and state may be posted on, including without limitation, the Website, marketing materials and the social media sites of Sponsor. Any such posting will NOT constitute any representation that the entry/Video is eligible or that it has been selected as a Potential Winner of any prize in the Contest or Sweepstakes.
13. LIMITATION OF LIABILITY: No liability or responsibility is assumed by the Released Parties resulting from Entrant’s participation in or attempt to participate in the Contest, or ability or inability to upload or download any information in connection with the Contest. No responsibility or liability is assumed by Sponsor or the Released Parties for technical problems or technical malfunction arising in connection with any of the following occurrences that may affect the operation of the Contest: (a) hardware or software errors; (b) faulty computer, cable, satellite, network, cellular, electronic, Internet connectivity or other online or network communication problems; (c) errors or limitations of any Internet or wireless service providers, servers, hosts or other providers; (d) garbled, jumbled or faulty data transmissions; (e) failure of any online transmissions to be sent or received; (f) lost, late, delayed or intercepted transmissions; (g) inaccessibility of the Website in whole or in part for any reason; (h) traffic congestion on the Internet or the Website; (i) unauthorized human or non-human intervention in the operation of the Contest n, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; (j) error, omission, interruption, deletion, defect, theft or destruction of, unauthorized access to, delay in operation, transmission, distribution of, alteration of, entry, judging procedure or random drawing, whether caused by the Entrant, or otherwise; (k) any of the equipment or programming associated with or used in this Contest, or otherwise; or (l) destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Contest. The Released Parties are not responsible for any printing, typographical, technical, computer, network or human error that may occur in the administration of the Contest, the uploading, the processing of entries, the judging of entries, the selection of entries in the random drawing, the announcement of the prizes or any Promotion-related materials. Use of Website is at user’s own risk. The Released Parties are not responsible for any personal injury, death or property damage or losses of any kind that may be sustained to Entrant’s, or any other person’s computer, mobile phone or video equipment resulting from participation in the Contest. Sponsor is not responsible for any human error that may occur in the processing of the Contest.
14. CONDITIONS OF PARTICIPATION/GENERAL RULES: By entering the Contest, each Entrant agrees (a) that Sponsor and its designees shall have the right and permission to use in any manner (unless prohibited by law) Entrant's name, voice, city and state of residence, photographs and/or likeness, and Video for advertising and/or trade and/or promotion and/or any other purpose now or hereafter known anywhere in the world in perpetuity without compensation, permission or notification to (as applicable) Entrant, or any third parties, except where prohibited by law; (b) that Sponsor and its designees shall have the right and permission to (i) alter, amend, edit or change Entries, including the Video, prior to distribution and (ii) use, distribute, reproduce, alter, amend and copyright Entries, including the Video, for purposes of advertising and trade (including posting on the Website) without compensation, unless prohibited by law; (c) to release the Released Parties from all liability and to indemnify, defend and hold harmless the Released Parties from and against any claim, action, liability, loss, injury or damage to Entrant, or any other person or entity, including, without limitation, infringement or violation of third party rights or personal injury or death to Entrant, or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of (i) the acceptance, possession, use or misuse of a Prize or any travel related thereto (ii) participation in or administration of this Contest, (iii) the use (or non-use) of any entry/Video or any of the rights granted herein; (iv) defamation, publicity or right of privacy; and (v) any element of this Contest; (d) to assume all liability for any injury or damage related to (c) (i)-(v); (e) to be bound by the Official Rules and the Judges’ decisions which are final; (f) to waive all rights to claim or collect punitive, incidental, consequential or any other damages; (g) that all causes of action relating to this Contest will be resolved individually without resort to any form of class action; (h) that any and all claims, judgments, or awards shall be limited to actual out of pocket costs incurred, excluding attorneys' fees; and (i) that New York law (without regard to principles of conflict of law/choice of law) shall apply exclusively to the Contest and that any dispute with respect to the Contest shall be resolved in either the federal or state courts located in the County of New York, State of New York.
Sponsor reserves the right in its sole discretion to cancel, terminate, modify, or suspend the Contest if Sponsor suspects fraud, technical failures or errors, viruses, bugs, unauthorized human intervention or any other similar causes or factors beyond Sponsor’s reasonable control could corrupt, impair or compromise the administration, security, integrity or fairness of the Contest (or portions thereof), as determined by Sponsor in its sole discretion. Should the Contest (or any portion thereof) be cancelled or terminated for any of the aforementioned reasons, the Contest prizes will be awarded by applying the Judging Criteria to all eligible, non-suspect entries received prior to the action taken, provided Sponsor is able to do so; the Sweepstakes prizes will be awarded by random drawing from among all eligible, non-suspect entries received prior to the action taken, provided Sponsor is able to do so; or Sponsor will have the right to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. If the Contest is cancelled or terminated, notice will be posted on the Website. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest materials, including without limitation, the Website and the Official Rules, the Official Rules shall prevail, govern and control.
Any damage made to any Contest -related Website (including the Website) will be the responsibility of the authorized e-mail account holder of the e-mail account associated with the damage in question. Any Entries suspected of being fraudulent (including those using robotic, automatic, programmed, or similar methods of participation) may be disqualified, based on determinations made solely by Sponsor. Sponsor reserves the right, in its sole discretion, to prohibit the participation of or disqualify an individual if fraud or tampering is suspected in connection with the entry process or the operation of the Contest, if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules, if an individual is acting in violation of these Official Rules or is acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person. If an Entrant submits more than the stated number of Entries permitted (that is, more than one (1) entry), and/or if Sponsor suspects that an Entrant attempted to obtain additional Entries by using multiple e-mail addresses, IP Addresses, registrations, identities or any other method, all suspect Entries submitted by the Entrant may be declared null and void. Sponsor’s/Administrator’s failure to enforce any provision of these Official Rules shall not constitute the waiver of such provision.
15. NOTICE TO ENTRANTS: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY CONTEST-RELATED WEBSITE (INCLUDING THE WEBSITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH INDIVIDUAL RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW
16. USE OF DATA: Sponsor will be collecting personal data about Entrants online, in accordance with its Privacy Policy. Please review the Sponsor’s Privacy Policy at www.Nutella.com. By participating in the Contest, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.
17. LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES: IN NO EVENT WILL THE RELEASED PARTIES AND/OR THEIR RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, PARTNERS, REPRESENTATIVES, AGENTS, SUCCESSORS, ASSIGNS, EMPLOYEES, OFFICERS AND DIRECTORS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE CONTEST AND/OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITES ASSOCIATED WITH THE CONTEST. IN NO EVENT SHALL THE RELEASED PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED FIVE DOLLARS ($5.00).
